Whether it be the acquisition of a new company or business or the sale of a subsidiary or division, the department acts for buyers and sellers on all scales of transaction.
As well as deals with third parties, the team gets involved with internal restructuring and reorganisation of companies in situations where, be it for reasons of succession planning or long-term business rationalisation, the current structure no longer matches the commercial reality of the business.
The department provides advice both to banks and borrowers in relation to finance matters, be it carrying out due diligence and drafting facility documentation or negotiating and project managing a company’s refinancing.
On the commercial side, a number of the team form part of the firm’s technology and media sector group and provide advice on branding, intellectual property and IT law.
The team also provides commercial contract advice whether on an annual retainer basis or on a contract by contract basis. The department can advise on contracts with which you may have been presented by your proposed client or supplier as well as drafting bespoke contracts for your new business opportunity.
